Clarkson was sent a 'please explain' by AFL Victoria on Monday after he verbally abused two Port Melbourne players at quarter-time of the club's clash with Box Hill.
The Hawks coach had become angered after a Port Melbourne player, Toby Pinwill, felled Box Hill's Sam Iles behind play during the first quarter.
Clarkson called Pinwill and teammate John Baird on Monday to apologise for his actions, with both players accepting the apology, and Hawthorn provided its response to AFL Victoria a short time later.
The state governing body released a statement on Tuesday morning saying it was satisfied with the response and the "proactive approach" taken by Clarkson in contacting Pinwill and Baird.
"Alastair acknowledged his actions were inappropriate, has expressed his regret at the situation and apologised to the VFL for the incident," the statement said.
"Approaching umpires or players during any interval in a football game by spectators, players or officials is not acceptable within the VFL competition, or at any level of the game.
"There will be no further action taken by AFL Victoria regarding this matter."
The Hawks have already said that they won't sanction their coach.
Pinwill will face the VFL tribunal on Tuesday night, charged with striking Iles.
Box Hill is Hawthorn's VFL affiliate club.
